The name of the Association is __________ (the "Association"). Section 1.2 — Principal Office. ARTICLE II — DEFINITIONS Section 2.1 — Association. "Association" means __________, the nonprofit corporation that administers the community. Section 2.2 — Board. "Board" means the Board of Directors of the Association. Section 2.3 — Common Area. "Common Area" means all real property and improvements owned or maintained by the Association for the common use and benefit of all Owners, as defined in the Declaration. Section 2.4 — Declaration. "Declaration" means the Declaration of Covenants, Conditions, and Restrictions recorded against the community, as amended from time to time. Section 2.5 — Lot. "Lot" means each separately platted parcel of land within the community subject to the Declaration. Section 2.6 — Owner. "Owner" means the record owner of fee simple title to a Lot, excluding any party holding an interest merely as security for an obligation (e.g., a mortgage lender). ARTICLE III — MEMBERSHIP Section 3.1 — Automatic Membership. Every Owner of a Lot is automatically a member of the Association. Membership is appurtenant to the Lot and transfers with the Lot. Section 3.2 — Voting Rights. Each Lot shall have one (1) vote. If a Lot has more than one Owner, the vote for that Lot shall be exercised as the co-Owners agree among themselves. No Owner may cast more than one vote per Lot owned. Section 3.3 — Suspension of Rights. The Board may suspend an Owner's voting rights for nonpayment of assessments, after providing written notice and a hearing opportunity as required by state law. Suspension of voting rights does not relieve the Owner of any obligation under the Declaration or these Bylaws. ARTICLE IV — MEETINGS OF MEMBERS Section 4.1 — Annual Meeting. An annual meeting of the members shall be held on __________ [date or description, e.g., "the second Tuesday in March"] of each year, at a time and place set by the Board. If the annual meeting is not held on the designated date, the Board shall schedule a replacement meeting within __________ [number] days. Section 4.2 — Special Meetings. The Secretary shall keep the minutes of all meetings of the Board and the members, maintain the official records of the Association, send all required notices, and certify the accuracy of Association records when required. Section 6.5 — Treasurer. The Treasurer shall oversee the Association's financial records, report on the financial condition at each Board meeting, and ensure that an annual financial statement is prepared and distributed to the members. Section 6.6 — Term and Removal. Officers shall serve a term of __________ [number] year(s) or until their successors are elected. Any officer may be removed by a majority vote of the Board at any time. ARTICLE VII — COMMITTEES Section 7.1 — Standing Committees. The Association shall keep the following records at its principal office or another location designated by the Board: (a) Articles of incorporation and all amendments (b) These Bylaws and all amendments (c) The Declaration, plat, and all amendments (d) Minutes of all meetings of members, the Board, and committees (e) Financial statements, budgets, and tax returns (f) A current roster of Owners with mailing addresses (g) Insurance policies (h) Contracts currently in effect Section 9.2 — Owner Inspection Rights. Upon written request and at least __________ [number] business days' notice, any Owner may inspect and copy Association records during normal business hours, at the Owner's expense for copying. The Board may withhold records only to the extent permitted by state law (e.g., attorney-client privilege, personnel records). Section 9.3 — Financial Review. Any notice required under these Bylaws shall be in writing and delivered by first-class mail, personal delivery, or electronic means (if the Owner has consented to electronic notice) to the address on file with the Association. Section 11.5 — Severability.
